These Terms of Service (the “Terms”) are an agreement between you and Meliora Interactive LLC (“Meliora Interactive,” “we,” “us,” or “our”). They apply to your use of meliorainteractive.com (the “Website”) and our video games, apps, and related online services that link to or incorporate these Terms (collectively, the “Services”).
Please read these Terms before using the Services. Where we ask you to accept them, you agree by selecting the acceptance option presented to you. Otherwise, your use of the Services constitutes acceptance only where you have received adequate notice of these Terms and that use validly establishes agreement under applicable law. If you do not agree, do not use the affected Services.
Provisions about accounts, subscriptions, purchases, virtual items, or user content apply only when the relevant Service offers those features.
1. Product-specific terms and app stores
A product may have a separate end user license agreement (“EULA”) or additional terms presented with that product. Those terms apply together with these Terms and control any conflict concerning that product, subject to applicable law and mandatory platform requirements.
If you obtain a product through Apple’s App Store, Google Play, Steam, or another distribution platform, that platform’s applicable purchase, payment, refund, and usage terms also apply. These Terms do not restrict rights that applicable platform requirements grant you, including eligible family sharing and other authorized uses.
For an app obtained through Apple’s App Store, Apple’s Standard Licensed Application End User License Agreement governs your app license unless we provide a separate custom EULA through Apple for that app. These Terms do not replace the applicable Apple EULA. They apply to our additional services only to the extent consistent with that EULA and Apple’s applicable usage rules.
We are responsible for the products and services we provide under these Terms. A distribution platform is not a party to these Terms merely because it distributes our products. Nothing here excludes that platform’s own obligations under applicable law or its agreements with you.
2. Eligibility and authority
You must be at least 13 years old and meet any higher minimum age required by applicable law or stated for the relevant Service. The Services covered by these Terms are not available to children under 13.
If you have not reached the age of legal adulthood where you live, you may use the Services only with the permission and supervision of a parent or legal guardian who has reviewed and agreed to these Terms on your behalf. This permission does not replace any separate parental consent required by privacy or other applicable law.
If you use a Service on behalf of a business or other organization, you must have authority to accept these Terms for that organization. In that case, “you” includes the organization where the context requires.
3. License and acceptable use
Except where a separate product license applies, we grant you a limited, non-exclusive, non-transferable license to install and use our games and apps on devices you own or control, or otherwise as permitted by applicable platform rules. The license is subject to these Terms and the conditions of your purchase or subscription.
Unless the applicable product terms state otherwise, our games are licensed for personal entertainment, and our other apps may be used for personal purposes or your internal business purposes consistent with their intended functionality and any applicable plan limits. This license does not authorize resale, sublicensing, or providing our software as a service to others.
Your license may be suspended or terminated only as described in these Terms or the applicable product license, subject to applicable law and platform requirements.
You must not:
- Copy, modify, distribute, sell, rent, sublicense, or create derivative works of our software or content except as expressly authorized by us, permitted by applicable law or platform rules, or allowed by a license governing an included component.
- Reverse engineer, decompile, or disassemble our software except to the extent applicable law or a relevant component license permits.
- Use cheats, exploits, bots, or unauthorized automation to gain an unfair gameplay advantage, circumvent access restrictions, or disrupt a Service.
- Interfere with the Services, introduce malicious code, or attempt unauthorized access to systems, data, or accounts.
- Harass, threaten, impersonate, or abuse others, or use the Services for unlawful conduct.
- Upload content that infringes another person’s rights or unlawfully discloses personal information.
- Remove or alter copyright, trademark, or other proprietary notices.
These restrictions do not prohibit ordinary installation and use under your license, supported accessibility features, authorized integrations or modding tools, or other uses we expressly permit. Separate open-source and third-party component licenses govern those components to the extent they conflict with these Terms.
4. Accounts and security
Some Services may require an account or allow sign-in through another platform. Provide accurate information and keep it reasonably up to date. Protect your credentials and do not share them except through an expressly supported account-sharing or team feature.
You are responsible for activity you authorize and for complying with your security obligations under these Terms. You are not automatically responsible for every unauthorized action merely because it occurred through your account; responsibility will be determined under applicable law and these Terms.
Notify us promptly at contact@meliorainteractive.com if you suspect unauthorized access. We may take reasonable steps to protect an account, including temporarily restricting access while we investigate.
5. Purchases, subscriptions, and virtual items
Purchases and refunds
Prices, included benefits, applicable taxes, and material purchase conditions will be disclosed before you complete a purchase. You must be authorized to use the payment method you provide.
Purchases billed by a third-party store or platform are processed under that seller’s applicable terms and refund procedures. Direct purchases from us are subject to the purchase terms we present at checkout. Contact us if you need help identifying the appropriate billing provider or resolving a product or access problem.
Nothing in these Terms removes a refund, repair, replacement, price reduction, cancellation, or other remedy available under applicable law, the applicable platform’s rules, or an express promise we make.
Subscriptions and trials
If we offer a subscription, the offer will identify its price, billing interval, included benefits, renewal terms, any cancellation deadline, and how to cancel before you are asked to agree or provide billing information. Any trial or introductory offer will explain its duration, when paid charges begin or change, and the subsequent price.
An automatically renewing subscription renews for the periods disclosed when you subscribe unless canceled. We or the applicable billing provider will obtain your affirmative consent before charging for an automatic renewal arrangement and provide a confirmation you can retain, together with legally required renewal and trial reminders.
You may cancel through the applicable store’s subscription controls or the cancellation methods provided for a direct subscription. For direct subscriptions, we will provide simple cancellation through the methods used to subscribe and as otherwise required by law, including online cancellation for online enrollment. Contacting support will not be a required substitute for an online cancellation method where one is required.
Cancellation ordinarily stops future renewals while access continues through the period already paid for. Earlier termination and any refund are governed by the applicable purchase terms, platform rules, and law. Removing an app or closing a separate Meliora account does not, by itself, necessarily cancel a store-billed subscription.
We will give advance notice of material subscription changes within the time periods required by applicable law and platform rules. Before charging an increased recurring price that you have not already affirmatively agreed to, we or the billing provider will obtain your affirmative consent. If that consent is not obtained, the subscription will not renew at the increased price.
Virtual currency and items
If a game offers virtual currency or virtual items, you receive limited rights to use them within that game under the applicable purchase and product terms. They are not bank deposits or legal tender and cannot be redeemed for cash or transferred outside the product unless expressly permitted or required by law.
We may make reasonable adjustments for gameplay balance, technical issues, security, fraud prevention, or legal compliance. Removal or a material reduction of paid benefits remains subject to applicable notice and remedy requirements. Purchased virtual currency will not expire where expiration is prohibited by applicable law or platform rules.
6. Your content
Some Services may let you submit or share messages, images, creations, or other material (“User Content”). You retain ownership of the rights you hold in your User Content. Creating content with our tools does not transfer ownership of underlying material belonging to us or someone else.
You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, and make technical adaptations to your User Content only as reasonably necessary to operate, maintain, protect, and improve the Services in which you provide it. For example, we may resize an uploaded image or display a message to its intended recipients. We may authorize service providers to perform these activities for us under appropriate restrictions.
This license does not permit unrelated advertising uses of private User Content. It ends when your content is deleted from our systems, except to the limited extent needed for lawful retention, routine backup deletion, or continued display of copies shared with others through the Service’s intended features. Personal information remains subject to our Privacy Policy and applicable law.
You must have the rights necessary to submit your content and grant this permission. We may restrict or remove content that violates these Terms, another person’s rights, or applicable law. You can report concerns using our contact email.
7. Our intellectual property and feedback
Except for User Content and rights expressly belonging to third parties, the Services and their software, characters, artwork, music, text, logos, and other materials belong to Meliora Interactive or our licensors.
The names “Meliora Interactive,” our logos, and our product names may be protected by trademark or other intellectual property rights. These Terms grant only the permissions expressly stated in them or in an applicable separate license.
If you voluntarily provide suggestions or feedback about our products, you permit us to use and incorporate that feedback to develop and improve our products without payment or attribution obligations. This permission does not transfer ownership of your other User Content or authorize uses contrary to our Privacy Policy.
8. Updates, changes, and discontinuation
We may update or change the Services for legitimate operational, technical, security, legal, or product-development reasons. Some updates may be necessary to continue using a Service. We will provide updates and support where required by applicable law or an express commitment made at purchase.
If a change materially reduces paid functionality or we plan to discontinue an online service, we will provide reasonable advance notice when practicable, along with any notice and remedies required by law, platform rules, or your purchase terms. We may act immediately when reasonably necessary to address a serious security issue, unlawful activity, or a legal requirement.
Stopping future sales does not, by itself, cancel licenses or other rights already acquired. If we cannot supply a prepaid service for the promised period, we will provide, or arrange with the applicable seller, the refund or other remedy to which you are entitled.
9. Third-party services
The Services may link to third-party websites or integrate third-party features. Those providers may have separate terms and privacy policies.
We do not control independent third-party services. However, this section does not exclude our responsibility for our own obligations or limit any rights you have against us or a third party under applicable law or an applicable agreement.
10. Privacy
Our Privacy Policy, together with any product-specific privacy notices, explains how we handle personal information.
Accepting these Terms does not replace any separate consent required by law for collecting or using personal information. We will obtain any such consent through the appropriate process.
11. Warranties and disclaimers
Except for our express commitments and rights that cannot be excluded under applicable law, the Services are provided “as is” and “as available.” To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee uninterrupted or error-free operation, compatibility with every device, or preservation of all content or gameplay progress. These statements do not excuse our obligations concerning paid features, required updates, security, or other rights and remedies that applicable law provides.
12. Limitation of liability
Subject to the exceptions below and to the extent permitted by law, Meliora Interactive will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the Services or these Terms. This includes loss of profits, goodwill, or data to the extent those losses are indirect or consequential.
Subject to the same exceptions, our total liability for all claims concerning an affected product or Service will not exceed the greater of US$50 or the sum of:
- The one-time purchase or permanent-unlock price you paid for that product, if any; and
- Other amounts you paid for that product or Service during the 12 months before the event giving rise to the claim.
Amounts paid through authorized stores and platforms count in this calculation, and no payment is counted twice.
The exclusions and limits in this section do not apply to our fraud, willful misconduct, gross negligence, death or personal injury caused by our negligence, or any liability that applicable law does not allow us to exclude or limit. They also do not reduce refunds, price reductions, or other statutory consumer remedies to which you are entitled.
13. Third-party claims involving business users
This section applies only when you use the Services for a business or other organization, rather than primarily for personal, family, or household purposes.
To the extent permitted by law, that business or organization agrees to indemnify Meliora Interactive against third-party claims and resulting damages, settlements, and reasonable legal costs to the extent caused by its unlawful use of the Services, its material breach of these Terms, or its User Content infringing a third party’s intellectual property rights.
This obligation does not apply to claims caused by our breach of these Terms, negligence, or other wrongful conduct. We will give prompt notice of a claim, provide reasonable cooperation, and allow the business to control its defense with reasonably qualified counsel. No settlement may impose an admission, payment, or other obligation on us without our prior consent, which we will not unreasonably withhold.
14. Suspension and termination
You may stop using the Services at any time. To stop subscription renewals, follow the cancellation process in Section 5. You may request account closure using any available account controls or our contact email.
We may restrict, suspend, or terminate access to an affected Service if you materially or repeatedly violate these Terms, fail to pay amounts properly due, use the Service fraudulently or unlawfully, or create a serious security risk. We may also do so when required by law.
Where reasonable and lawful, we will explain the reason and provide an opportunity to address a remediable issue before permanent termination. Immediate action may be necessary for serious harm, fraud, security, or legal reasons. Restrictions will be proportionate to the circumstances and remain subject to applicable law and platform rights.
Termination ends only the licenses and access affected by that termination. It does not automatically cancel unrelated product licenses. Paid access, refunds, subscription charges, and content retention will be handled under these Terms, applicable purchase and platform terms, our Privacy Policy, and law.
Sections that need to continue to have effect after termination—including intellectual property, accrued payment obligations, lawful content-retention permissions, disclaimers, liability provisions, and dispute provisions—will survive to the extent applicable.
15. Governing law and disputes
These Terms are governed by the laws of the State of New York, United States, without applying its conflict-of-law rules, except where applicable law requires otherwise.
Subject to the consumer protections below, you and Meliora Interactive consent to the nonexclusive jurisdiction of competent state courts in New York and federal courts located in New York where federal jurisdiction otherwise exists.
If you are a consumer, this choice does not deprive you of mandatory protections provided by the law of the place where you live. You may bring claims in your local courts where applicable law gives you that right, and we will bring claims against you only in a forum permitted by applicable law. These Terms do not require arbitration or waive any right to use small-claims procedures.
16. Changes to these Terms
We may revise these Terms to reflect changes in our Services, legal requirements, or business practices. We will publish the revised version and identify its effective date.
For material changes affecting existing users, we will provide reasonable advance notice through an appropriate channel, such as email, an in-product notice, or a prominent Website notice where appropriate. We will comply with any specific notice periods and methods required by law or platform rules. Urgent legal or security changes may take effect sooner where permitted.
Changes apply prospectively and will not be used to retroactively remove rights relating to an existing dispute or to avoid obligations concerning purchases already made. Where renewed acceptance is required, we will request it. Otherwise, continued use after effective notice constitutes acceptance only to the extent permitted by applicable law.
Subscription changes remain subject to Section 5. Changes to personal-information practices remain subject to our Privacy Policy, applicable law, and any required separate notice or consent.
17. General
These Terms and any applicable product-specific terms form the agreement between you and Meliora Interactive concerning the Services they cover, subject to the priority rules in Section 1. They do not replace applicable platform agreements, separate component licenses, or nonwaivable legal rights.
If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. A delay in enforcing a provision does not waive our right to enforce it later.
You may transfer your rights only where permitted by these Terms, the relevant license, applicable platform rules, or law, or with our consent. We may transfer our rights and obligations in connection with a merger, acquisition, reorganization, or sale of the relevant business or assets, provided the successor assumes those obligations and your rights under these Terms are not reduced.
